Business transactions
and contracts
The firm advises clients on business transactions, contracts,
licenses, leases, employment agreements, etc. The entertainment
business is all about relationships. Contracts are the method
used to memorialize relationships in the entertainment industry.
If you are negotiating the terms of a contract, there are two
things to always remember:
- get it in writing; and
- make sure you understand the rights you have and the rights
you are giving away.
While the general terms of most contracts are discussed orally,
one should always put the understanding in writing. This will
serve to memorialize the understanding between the parties. Also,
written contracts are much more likely to be enforced by a court.
Oral agreements are difficult to enforce because of uncertainty
over the actual terms of the agreement and the fact that the only
parties who know the true agreement are biased. Finally, some
contracts must be in writing to be enforceable, such as a work-for-hire
agreement.
